Synopsys, the world's largest semiconductor EDA software supplier, announced that it will acquire industrial software company Ansys for US$35 billion (approximately 252 billion yuan). The deal is considered one of the largest in the past 12 months.
# Under the terms of the agreement, Ansys shareholders will receive $197 in cash and 0.345 shares of Synopsys common stock for each share they share. Based on the closing price of Synopsys common stock on December 21, 2023 ($559.96), the acquisition premium is approximately 29%.
According to official sources, the transaction is expected to be completed in the first half of 2025, subject to Ansys shareholder approval, regulatory approvals and other closing conditions.
Synopsys CEO Shelagh Glaser said that through the merger, Synopsys' semiconductor EDA solutions will be combined with the simulation and analysis capabilities of the Ansys software platform to provide more powerful and complete product services. This will enable customers to more accurately simulate and evaluate their designs to accelerate product development and improve market competitiveness. This merger will bring more innovation and development opportunities to the industry and provide customers with more comprehensive solutions to respond to changing market needs.
He also pointed out that the deal will have an immediate value-added effect after one year. It is understood that the combined company is expected to achieve annualized cost synergies of approximately US$400 million in the third year after the transaction, and annualized revenue synergies of approximately US$400 million in the fourth year after the transaction. Over the long term, this effect will grow to more than $1 billion per year. Under the terms of the agreement, Ansys shareholders are expected to own approximately 16.5% of the combined company.
